Agreement to Terms

By accessing or using the We The Flywheel website at wetheflywheel.com ("Site") or engaging our consulting services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Site or Services.

Services Description

We The Flywheel provides technology consulting services including:

  • Fractional CTO and technology leadership
  • Technology due diligence for investors
  • AI and machine learning strategy consulting
  • Digital transformation advisory
  • Technical architecture review and planning

Specific services, deliverables, timelines, and fees are defined in separate engagement agreements ("Statements of Work" or "SOWs") executed between parties.

Engagement Terms

Consulting Agreements

All consulting engagements are governed by a separate Master Services Agreement (MSA) and/or Statement of Work (SOW) that will outline specific terms including scope, deliverables, timeline, fees, and payment terms.

Professional Standards

We commit to providing services with professional skill and care, consistent with industry standards. Our advice and recommendations are based on information provided by clients and our professional judgment at the time of engagement.

Client Responsibilities

Clients agree to:

  • Provide accurate and complete information necessary for our services
  • Make timely decisions and provide feedback when requested
  • Designate appropriate personnel for collaboration
  • Pay fees according to agreed payment terms

Intellectual Property

Pre-Existing IP

Each party retains ownership of intellectual property created prior to or independently of any engagement. We retain ownership of our methodologies, frameworks, tools, and general knowledge developed through our practice.

Work Product

Ownership of deliverables and work product created during an engagement will be specified in the applicable SOW. Unless otherwise agreed, clients receive a license to use deliverables for their internal business purposes.

All content on this Site, including text, graphics, logos, and images, is the property of We The Flywheel and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without written permission.

Confidentiality

We treat all client information as confidential. We will not disclose confidential information to third parties without consent, except as required by law. Specific confidentiality obligations are detailed in our engagement agreements.

Clients agree to maintain the confidentiality of our proprietary methodologies, pricing, and any confidential information shared during engagements.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE THE FLYWHEEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO OUR SERVICES OR THIS SITE.

Our total liability for any claim arising from services shall not exceed the fees paid for the specific engagement giving rise to the claim. This limitation applies regardless of the theory of liability.

We provide consulting advice and recommendations, but ultimate business decisions and their outcomes remain the client's responsibility.

Indemnification

You agree to indemnify and hold harmless We The Flywheel, its officers, employees, and agents from any claims, damages, or expenses arising from your use of our Site, violation of these Terms, or infringement of any third-party rights.
